2. Client Responsibilities

To ensure timely delivery of Services, clients agree to:

  • Respond to requests for approvals within a reasonable timeframe
  • Make payments according to the agreed schedule
  • Ensure they have the rights to any content, images, logos, or materials provided to us for use in their project

Delays caused by the client (late content, feedback, or approvals) may result in project timeline extensions.

3. Payment Terms

  • Pricing for Services will be provided in a project quote or proposal prior to commencement.
  • A deposit may be required before work begins, with the remaining balance due upon completion or per an agreed payment schedule.
  • Late payments may result in a pause of Services until the balance is settled.
  • All fees are non-refundable once work has commenced, unless otherwise agreed in writing.

4. Project Timelines

Estimated timelines will be communicated at the start of a project. Timelines are estimates and may be affected by factors including client responsiveness, scope changes, or unforeseen technical issues. We will communicate any significant delays as soon as possible.

5. Revisions and Scope Changes

  • Each project includes a defined number of revision rounds, as outlined in the project proposal.
  • Requests beyond the agreed scope or revision limit may incur additional charges.
  • Any changes to the original project scope must be agreed upon in writing before work begins.

6. Intellectual Property

  • Upon full payment, clients receive ownership rights to the final website design and custom content created specifically for their project, unless otherwise stated in the agreement.
  • We retain the right to showcase completed projects in our portfolio, case studies, and marketing materials unless the client requests otherwise in writing.
  • Any third-party tools, plugins, themes, stock images, or licensed assets used in the project remain subject to their respective licenses and are not owned by Web Designs Sphere or transferred to the client beyond the scope of that license.
  • We retain ownership of any proprietary tools, frameworks, or code libraries used to build the project that are not part of the final client-facing deliverable.

7. Website Maintenance and Support

Unless a maintenance plan is included in your agreement, ongoing website updates, hosting, security monitoring, and technical support are not included after project completion and may be offered as a separate paid service.

8. SEO Services Disclaimer

SEO results depend on numerous factors outside our control, including search engine algorithm changes, competitor activity, and industry conditions. We do not guarantee specific rankings, traffic numbers, or timeframes for results. SEO is an ongoing, long-term process, and outcomes may vary.

9. Third-Party Services

Our Services may involve the use of third-party platforms (e.g., hosting providers, domain registrars, CMS platforms, plugins). We are not responsible for outages, policy changes, or issues arising from third-party services.

10. Limitation of Liability

To the fullest extent permitted by law, Web Designs Sphere shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our Site or Services, including but not limited to loss of revenue, data, or business opportunities.

Our total liability for any claim related to our Services shall not exceed the total amount paid by the client for the specific project in question.

11. Termination

Either party may terminate a project agreement with written notice. In the event of termination:

  • The client will be responsible for payment for all work completed up to the termination date.
  • Any deposit paid is non-refundable unless otherwise agreed.

12. Confidentiality

We agree to keep confidential any proprietary business information shared by the client during the course of a project, except where disclosure is required by law.

13. Website Content and Accuracy

While we strive to keep the information on our Site accurate and up to date, we make no warranties regarding the completeness or accuracy of the content and reserve the right to make changes at any time without notice.

14. Governing Law
